Job Description:
A company is looking for a Contract Attorney specializing in
Private Placements on the debt-side, offering 100% remote work.
Key Responsibilities:
Negotiate NDAs and review legal documents for privately placed
corporate debt issuances and private equity investments
Advise on amendments and assist with closing and funding
Review and complete subscription agreements, negotiate side
letters, and advise on consents and amendments
Qualifications:
3+ years of experience with a major law firm or in-house with an
insurance company or asset manager
Expertise in reviewing and negotiating legal documents related to
private placements and private equity
Strong understanding of Note Purchase Agreements, Issues Memoranda,
collateral or project documents, and Limited Partnership
Agreements
Ability to provide counsel on problems/issues and recommend
changes
Experience with MFN selections and advising on consents and
amendments
